These Terms and Conditions (“Terms”) govern your use of Verona Events’ services (“Services”) and your relationship with Verona Events (“Verona,” “we,” “us,” or “our”). By engaging our Services, you agree to be bound by these Terms. Please read them carefully.

1. Services:

Verona Events provides event planning and management services, including but not limited to: venue sourcing, vendor coordination, budget management, event design, on-site management, and marketing. The specific Services provided will be outlined in a separate agreement or proposal (“Agreement”) between you and Verona.

2. Agreement:

The Agreement will detail the scope of Services, event date(s), location, budget, payment schedule, and any other specific requirements. In the event of any conflict between these Terms and the Agreement, the Agreement shall prevail.

3. Payment:

Payment for Services will be as outlined in the Agreement. Typically, payments are made in installments, with a deposit due upon signing the Agreement and subsequent payments due at specified milestones. Verona reserves the right to suspend Services if payments are not received as scheduled.

4. Cancellations & Refunds:

Cancellation policies will be detailed in the Agreement. Generally, deposits are non-refundable. Refunds for subsequent payments may be considered depending on the timing of the cancellation and expenses already incurred by Verona. Verona will make reasonable efforts to mitigate losses in the event of a cancellation.

5. Client Responsibilities:

The Client is responsible for providing accurate and timely information, approvals, and decisions necessary for Verona to perform the Services. The Client is also responsible for securing any necessary permits or licenses unless otherwise agreed upon in the Agreement.

6. Vendor Relationships:

Verona will act as the Client’s agent in coordinating with vendors. While Verona will make every effort to ensure vendor performance, Verona is not liable for the acts or omissions of third-party vendors. The Client is responsible for reviewing vendor contracts and ensuring they meet their requirements.

7. Intellectual Property:

Any creative materials, designs, or concepts developed by Verona for the event remain the intellectual property of Verona unless otherwise agreed upon in writing.

8. Liability:

Verona’s liability for any claims arising out of or in connection with the Services shall be limited to the total amount paid by the Client to Verona under the Agreement. Verona shall not be liable for any indirect, consequential, incidental, or special damages, including lost profits or business interruption.

9. Force Majeure:

Neither party shall be liable for any failure or delay in performing its obligations under these Terms or the Agreement to the extent that such failure or delay is caused by a force majeure event, including but not limited to acts of God, war, terrorism, natural disasters, or government regulations.  

10. Governing Law:

These Terms and the Agreement shall be governed by and construed by the laws of the United Arab Emirates.

11. Dispute Resolution:

Any disputes arising out of or in connection with these Terms or the Agreement shall be resolved through amicable negotiation. If the parties are unable to resolve the dispute through negotiation, they agree to submit the dispute to the competent courts of the United Arab Emirates.

12. Amendments:

Verona reserves the right to amend these Terms at any time. Any changes will be posted on Verona’s website and will be effective immediately upon posting.

13. Entire Agreement:

These Terms, together with the Agreement, constitute the entire agreement between the parties concerning the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
